The terms that govern your use of InstaRedact.

PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY BEFORE USING INSTAREDACT. BY ACCESSING OR USING OUR SERVICE IN ANY WAY, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Olmsted Tech LLC ("InstaRedact," "we," "us," or "our") governing your access to and use of the InstaRedact platform, website, API, and all related tools, features, and services (collectively, the "Service").

By creating an account, uploading content, clicking "I Agree," or otherwise accessing or using the Service, you represent that:

  • You have read, understood, and agree to be bound by these Terms;
  • You are at least 18 years of age (or the age of legal majority in your jurisdiction);
  • You have the legal capacity and authority to enter into this agreement; and
  • If acting on behalf of an organization, you have authority to bind that organization to these Terms.

2. Description of Service

InstaRedact provides automated image processing technology designed to detect and redact certain visual content, including but not limited to images that may contain personal information or identifying characteristics ("Redaction Services"). The Service uses artificial intelligence and machine learning algorithms that are probabilistic in nature and are not guaranteed to be accurate, complete, or error-free.

3. Critical Limitations and Disclaimers — PLEASE READ

3.1 No Guarantee of Detection or Redaction Accuracy

THE SERVICE IS PROVIDED ON A BEST-EFFORTS BASIS. WE MAKE NO WARRANTY, EXPRESS OR IMPLIED, THAT THE SERVICE WILL:

  • Detect all personal information, faces, identifying features, or other content present in any image;
  • Accurately redact all detected content;
  • Produce output that is compliant with any applicable law, regulation, or standard;
  • Meet your specific needs, requirements, or expectations; or
  • Operate without errors, interruptions, or failures.

Automated image processing is an inherently imperfect technology. False positives (content redacted that should not have been) and false negatives (content not redacted that should have been) will occur. You acknowledge and accept this limitation as an intrinsic characteristic of the Service.

3.2 Not a Legal Compliance Solution

The Service is not a legal compliance tool and must not be relied upon as such. Use of the Service does not constitute, and InstaRedact makes no representation that it constitutes, compliance with any law, regulation, or legal obligation, including but not limited to:

  • The General Data Protection Regulation (GDPR);
  • The California Consumer Privacy Act (CCPA) or California Privacy Rights Act (CPRA);
  • The Health Insurance Portability and Accountability Act (HIPAA);
  • The Children's Online Privacy Protection Act (COPPA);
  • The Illinois Biometric Information Privacy Act (BIPA);
  • Any state biometric privacy laws;
  • Any other applicable privacy, data protection, or consumer protection laws.

You are solely responsible for ensuring your own legal compliance. We strongly recommend consulting qualified legal counsel before relying on any automated redaction tool for compliance purposes.

3.3 Human Review Required

YOU MUST INDEPENDENTLY VERIFY ALL OUTPUTS OF THE SERVICE. Do not rely solely on the Service's automated output for any purpose where incomplete or inaccurate redaction could cause harm, legal liability, or adverse consequences. InstaRedact strongly recommends that all processed images undergo human review before use, publication, or distribution.

4. User Responsibilities and Representations

By using the Service, you represent, warrant, and agree that:

4.1 Content Ownership and Rights

  • You own or have obtained all necessary rights, licenses, consents, and permissions to upload, process, and use all images and content submitted to the Service ("User Content");
  • You have obtained any required consent from individuals depicted in User Content to process their images using automated tools;
  • Your use of the Service and the User Content does not and will not infringe any copyright, trademark, right of publicity, right of privacy, or any other intellectual property or proprietary right of any third party.

4.2 Lawful Use

You will use the Service only for lawful purposes and in accordance with these Terms. You will not use the Service to:

  • Process images without authorization from the image owner or applicable rights holders;
  • Circumvent or attempt to circumvent applicable privacy laws;
  • Stalk, harass, harm, or violate the privacy of any individual;
  • Facilitate illegal surveillance or unauthorized monitoring;
  • Process images of individuals without their knowledge or consent where required by applicable law;
  • Engage in any unlawful, fraudulent, or deceptive activity;
  • Re-identify or attempt to re-identify any individual from redacted content;
  • Upload content that is defamatory, obscene, abusive, or otherwise objectionable;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure.

4.3 Compliance

You are solely responsible for complying with all laws and regulations applicable to your use of the Service, including all privacy, data protection, biometric, and image processing laws in your jurisdiction and in any jurisdiction where images you process originate or where data subjects reside.

4.4 Professional Use

If you are using the Service in a professional, commercial, or enterprise capacity, you assume full responsibility for conducting appropriate due diligence on the suitability of the Service for your intended use case prior to deployment.

5. Intellectual Property

5.1 InstaRedact Intellectual Property

The Service, including all software, algorithms, models, interfaces, designs, text, graphics, and other content comprising the platform, is owned by InstaRedact or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Service except the limited right to use it as expressly provided herein.

5.2 User Content

You retain all ownership rights in your User Content. By uploading User Content to the Service, you grant InstaRedact a limited, non-exclusive, worldwide, royalty-free license to store, process, and transmit your User Content solely as necessary to provide the Service to you.

5.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by InstaRedact freely and without obligation or compensation to you.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully. By using the Service, you consent to the practices described therein.

7. Fees and Payment

7.1 Fees

Access to certain features of the Service may require payment of fees as described on our pricing page. All fees are stated in the applicable currency and are non-refundable except as expressly provided in these Terms or required by applicable law.

7.2 Changes to Fees

InstaRedact reserves the right to modify its fees at any time upon notice to you. Continued use of the Service after any fee change constitutes your acceptance of the new fees.

7.3 Taxes

You are responsible for all applicable taxes arising from your use of the Service.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. INSTAREDACT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE;
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • WARRANTIES THAT RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE;
  • WARRANTIES THAT ANY ERRORS OR DEFECTS IN THE SERVICE WILL BE CORRECTED;
  • WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY AUTOMATED DETECTION, REDACTION, OR PROCESSING OUTPUT.

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT FULLY APPLY TO YOU.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

9.1 Exclusion of Consequential Damages

IN NO EVENT WILL INSTAREDACT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS;
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT;
  • DAMAGES ARISING FROM MISSED, INCOMPLETE, OR INACCURATE REDACTION;
  • DAMAGES ARISING FROM YOUR RELIANCE ON THE SERVICE FOR LEGAL COMPLIANCE;
  • DAMAGES ARISING FROM THIRD-PARTY CLAIMS RELATED TO YOUR USE OF THE SERVICE;

HOWEVER CAUSED, AND UNDER ANY THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF INSTAREDACT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSTAREDACT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE GREATER OF:

  • (A) THE TOTAL FEES PAID BY YOU TO INSTAREDACT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).

9.3 Basis of the Bargain

YOU ACKNOWLEDGE THAT INSTAREDACT HAS OFFERED THE SERVICE AND ENTERED INTO THESE TERMS IN RELIANCE UPON THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN, WHICH REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

10. Indemnification

You agree to defend, indemnify, and hold harmless InstaRedact and its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your access to or use of the Service;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your violation of any third-party right, including any intellectual property right, right of privacy, or right of publicity;
  • Any claim that your use of the Service caused harm to a third party; or
  • Any inaccurate, incomplete, or failed redaction arising from your use of the Service.

InstaRedact reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with InstaRedact's defense of such claims.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

11.2 Mandatory Arbitration

EXCEPT AS PROVIDED BELOW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, conducted in Sheridan, Wyoming. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION IN CONNECTION WITH ANY DISPUTE RELATED TO THESE TERMS OR THE SERVICE. Claims may only be brought in your individual capacity.

11.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or for emergency relief.

11.5 Time Limitation

ANY CLAIM ARISING UNDER THESE TERMS MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE THE CAUSE OF ACTION AROSE, OR SUCH CLAIM SHALL BE PERMANENTLY BARRED.

12. Termination

12.1 Termination by You

You may terminate your account at any time by following the account closure process in the Service settings.

12.2 Termination by InstaRedact

InstaRedact reserves the right to suspend or terminate your access to the Service at any time, with or without notice, and without liability, if:

  • You breach any provision of these Terms;
  • We are required to do so by law;
  • We determine, in our sole discretion, that continuation of the Service to you is no longer commercially viable or appropriate; or
  • We discontinue the Service.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 3, 4, 5, 8, 9, 10, 11, and 13 of these Terms shall survive termination.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and InstaRedact regarding the Service and supersede all prior and contemporaneous understandings and agreements.

13.2 Modifications

InstaRedact reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where practicable, by other reasonable means. Your continued use of the Service after any modification constitutes your acceptance of the revised Terms.

13.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

13.4 Waiver

No failure or delay by InstaRedact in exercising any right under these Terms shall constitute a waiver of that right.

13.5 Assignment

You may not assign or transfer these Terms or any rights hereunder without InstaRedact's prior written consent. InstaRedact may assign these Terms freely without restriction.

13.6 Force Majeure

InstaRedact shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, governmental action, internet outages, cyberattacks, or failures of third-party service providers.

13.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

13.8 Export Compliance

You agree to comply with all applicable U.S. and international export control laws and regulations in your use of the Service.
